Marketplace Seller Agreement

1. Eligibility

To sell on the marketplace you need a Klorr account in good standing — no unresolved Terms violations, payment disputes, or pending enforcement actions. We may require additional verification (for example through Stripe) before enabling payouts.

2. Listing requirements

Every listing must meet all of the following:

• You own the code or have the rights to sell it. You may not list code copied from paid themes, other marketplaces, or other sellers, or code whose licence forbids resale.
• It passes Klorr's automated validation. Sections must upload cleanly and pass our checks before they can be published.
• No malware or obfuscated code. Listings must not contain malicious, deceptive, or deliberately obfuscated code, hidden network calls, or tracking the buyer hasn't been told about.
• Accurate descriptions. Titles, descriptions, screenshots, and compatibility claims must honestly describe what the section does.

3. Review and moderation

Klorr may review any listing at any time and may approve, reject, unpublish, or remove listings at its sole discretion — including for quality, safety, rights concerns, or buyer complaints. We will tell you when a listing is rejected or removed and, where practical, why.

4. Pricing, fees, and payouts

• You set the price of each listing.
• Klorr takes a platform fee of 25% of each sale; the remaining 75% is yours, minus any payment-processing costs passed through by Stripe.
• Payouts are made via Stripe. You must maintain a valid Stripe account to receive payouts. We may withhold or reverse payouts for refunded, disputed, or fraudulent sales.

5. Licence granted to buyers

When a buyer purchases your section, you grant them a single-store use licence:

• The buyer may install and use the section in their own Shopify stores and in client projects they build.
• The buyer may modify the section for those uses.
• The buyer may not resell, redistribute, sublicense, or otherwise make the section itself available to others as a standalone product — on Klorr or anywhere else.

You keep ownership of your code. Listing on Klorr grants Klorr a licence to host, display, validate, and deliver your section to buyers, and to use listing previews to promote the marketplace.

6. Refunds and support

Sales are subject to the Refund Policy: purchases are final once delivered. If a buyer reports that your section does not match its description, we expect you to cooperate on a fix; where we decide a listing was misdescribed, we may unpublish it, issue the buyer a credit, and deduct the amount from your balance or future payouts.

7. Taxes

You are responsible for your own taxes on marketplace earnings, including income tax and any VAT/GST obligations that apply to you. Klorr does not withhold taxes on your behalf unless legally required to.

8. Removal and termination

You may unpublish your listings at any time; existing buyers keep their licences. We may suspend or terminate your seller privileges if you breach this agreement, repeatedly trigger valid complaints, or infringe others' rights (see the DMCA policy). On termination, unpaid legitimate earnings are paid out after a reasonable holding period for disputes.
